On the afternoon of March 4, 2025, our institution invited Mr. Wang Yinyan, Executive General Manager of the Investment Banking Department of China International Capital Corporation (CICC), to give a keynote speech on the topic of "The Road to Capital Market for Science and Technology Innovation Enterprises - IPO or MA? 》Lectures at industry forums.
At the beginning of the lecture, Professor Wang delved into the characteristics and differences of the A-share, Hong Kong stock, and US stock capital markets under the current situation. Among them, the US stock market, as the world's largest securities market, has a huge trading volume, long trading hours, mature market, and profound influence on the global financial market, attracting a large number of investors and strong market liquidity. Although the Hong Kong stock market has a relatively small market capacity compared to the US stock market, it has a higher degree of internationalization. Due to its unique geographical location and internationalization advantages, as well as the low valuations of many companies, the stock price has strong upward potential and is regarded as one of the global value troughs, making it the best choice for foreign investors to invest in Chinese companies. Most Hong Kong listed companies are large enterprises with mature market mechanisms, suitable for new ventures and long-term investments. In recent years, with the increase of mainland enterprises going public in Hong Kong, the vitality of the Hong Kong stock market has been continuously enhanced, attracting a large number of international and mainland investors. Due to restrictions on overseas investors, the overall liquidity of A-shares is not strong, but their stock prices are also at a low point compared to valuations. Since the end of last year, foreign investors have been continuously bullish on A-shares, and the future of the Chinese stock market is promising.

In addition, Teacher Wang explained the concept of IPO. He pointed out that with the continuous development of the global capital market, enterprises are facing various financing options, and IPO, as an important way for enterprises to enter the capital market, its process and significance have always been the focus of industry attention. In recent years, many companies have completed IPOs, such as Alibaba, Xiaomi Group, and CATL. These companies not only received a large amount of funds to expand their business, but also increased their visibility both domestically and internationally, consolidating their positions in their respective fields. Of course, IPOs also have complex review mechanisms and long preparation times, which can effectively screen out companies with huge potential and expectations.
Afterwards, Teacher Wang analyzed the dynamics of the M&A market for us. Firstly, Teacher Wang explained to us the impact of the six points of mergers and acquisitions on the Chinese stock market and Chinese enterprises. From the "3.15 New Policy" to the "Six Measures for Mergers and Acquisitions", the government has continuously introduced new policies to help the market and enterprises operate smoothly. Cross border mergers and acquisitions, as well as the transition from IPOs to mergers and acquisitions, have brought unlimited vitality and possibilities to the development of enterprises, such as pharmaceutical companies acquiring semiconductor companies to achieve strategic transformation, and traditional industries seeking ways out.
In addition, Teacher Wang used the acquisition of Huitai Medical by Mindray Medical as an example to deeply explore the successful factors of excellent merger and acquisition projects. He pointed out that Mindray Medical has successfully entered new business areas through mergers and acquisitions, expanding the related consumables market, while Huitai Medical has used Mindray's resources to make up for the shortcomings of its overseas business. This case vividly demonstrates how to achieve complementary advantages and enhance corporate competitiveness in M&A transactions.

During the questioning session, students enthusiastically spoke up and sought advice from Mr. Wang on issues such as the virtual currency market, the advantages and disadvantages of internships in investment banking for statistics majors, and the difficulties in pricing company assets in mergers and acquisitions transactions. Mr. Wang provided detailed answers and analysis to his classmates from a professional perspective, combined with practical cases, and gave insightful suggestions. Through this lecture, students have gained a deeper understanding and recognition of the capital market, M&A transactions, and related hot issues, and have expressed that they have benefited greatly.
